Neal K. Cody
is the President and CEO of Kelson Holdings.  Previously he was Chief Executive Officer of Freestate Management LLC; a firm that he co-founded with Mr. Gardner in 2002. Freestate was formed to advise and assist financial investors regarding power asset investments and assisted Harbinger Capital Partners in the Mayflower Energy acquisition which created Kelson Holdings in 2005.  From 2001 to 2002, Mr. Cody was Vice President of Corporate Development with Orion Power Holdings Inc., a position that he assumed when Orion purchased Columbia Electric where Mr. Cody was then serving as Vice President of Project Development. Previously Mr. Cody has held senior management positions with Ahlstrom Development Company and Sithe Energies. Mr. Cody holds a Bachelor of Science Degree in Civil Engineering from Princeton University and a Master of Business degree in Finance from the University of Pennsylvania’s Wharton School of Business.

Jesse D. Gardner is the Executive Vice President and CFO of Kelson Holdings.  Previously he was Chief Financial Officer of Freestate Management LLC, a firm that he co-founded with Mr. Cody in 2002. Mr. Gardner has over twenty years experience in the energy industry. He has extensive experience in corporate finance, project and acquisition financings, M&A due diligence and project restructurings. From June 1999 to August 2002, Mr. Gardner was Vice President and Treasurer at Orion Power Holdings Inc. and was responsible for creating and managing the treasury and credit management functions, establishing and building banking relationships and raising over $3.5 billion of capital to fund the company’s growth. Prior to joining Orion in 1999, Mr. Gardner was Director of Project Finance for Constellation Holdings, Inc. from 1986 to June 1999. Mr. Gardner has also served as a commercial banker with a specialization in real estate financing and credit analysis. Mr. Gardner received a Bachelor of Science degree in Business Administration and a Master of Business Administration degree from Virginia Tech.

Michael Chapman is a Senior Vice President of Kelson Energy and is the General Manager of Magnolia Energy – Kelson’s combined cycle facility located in Ashland, Mississippi.  In addition to managing the Magnolia asset, Mr. Chapman is focused on the technical and O&M aspects of the Kelson fleet and is also General Manager of Kelson Canada’s King City business unit.  Mr. Chapman has over twenty years of experience in the electric power business managing, developing, building, financing, and restructuring power and cogeneration projects.   During the 2003-2005 period, Mr. Chapman was a principal with Freestate Management and served as the asset manager of the 500-MW Attala Energy Facility on behalf of the lender group that took control of the asset in 2004.  Prior to joining Freestate, Mr. Chapman held senior positions with Orion Power Holdings, Inc., Columbia Electric, Boston Pacific and PA Consulting.  Key projects during that period included developing an 1,800-MW project in Maryland and serving as developer and engineering manager for the 570-MW Liberty Electric Project.  Mr. Chapman holds a Bachelor of Science Degree in Mechanical Engineering from Virginia Tech and is a registered Professional Engineer in Virginia.

Jerry Diener is the Vice President and General Manager of Kelson Canada, Inc. Kelson Canada has assets in both Canada and California. Mr. Diener has over 20 years of management experience including the position of Chief Financial Officer of public companies, one of which manufactured transmission and distribution towers on an international basis. Mr. Diener has been responsible for the development, operations and financial management for companies both in North America and Europe. Mr. Diener has a degree in business administration from Warner Pacific College of Portland Oregon.

Terry Dodson is a Senior Vice President of Kelson Energy and is the General Manager of Cottonwood Energy - Kelson's combined cycle facility located in Deweyville, Texas.  Prior to joining Kelson in 2006, Mr. Dodson worked at Calpine Corporation where he was Director for the Commercial Operations group handling electric transmission and market analyses for Calpine’s trading business in the eastern United States. From 1997 to 2005, Mr. Dodson performed roles for Calpine and for Dynegy Corporation which included responsibilities in development, construction, commissioning and operation of 11 new combined-cycle electric power plants totaling over 7,000MW.  Prior to these roles, Mr. Dodson was employed for 10 years by Dow Chemical where he performed project engineering and management roles for several major electrical distribution and electric generation plant upgrade projects, and served as operations supervisor for a newly built 600MW combined-cycle power plant. Mr. Dodson received a Bachelor of Science in Electrical Engineering from Texas A&M University.

Eric J. Emerson is a Senior Vice President of Kelson Energy.  Previously Mr. Emerson was a principal with Freestate Management LLC.   From 1998 to 2002, Mr. Emerson was a member of the original management team which created Orion Power Holdings, Inc. and developed the Company from a business plan into a publicly traded, electric power company with $4 billion market capitalization.  At Orion Power Mr. Emerson focused on finance and business development activities and worked closely with the CEO, CFO and other executive management on major decisions regarding the future of the company, including ultimately the sale of the Company to Reliant Resources.  Prior to joining Orion, Mr. Emerson was a Financial Analyst in the J. Aron Division of Goldman Sachs.  Mr. Emerson received a Bachelor of Science in Business Administration with a major in Accounting from the University of South Dakota.

Rob Janssen is a Senior Vice President of Kelson Energy and is the General Manager of Dogwood Energy - Kelson's combined cycle facility located in Pleasant Hill, Missouri.  Prior to joining Kelson, Mr. Janssen held various positions with Boston Pacific Company, Inc., an electricity and natural gas industry consulting firm, as well as with a natural gas local distribution company, UGI Utilities.  Mr. Janssen has extensive experience in leading and managing state and federal regulatory processes, RTO / ISO market development and operations, power plant development and financing, expert witnessing and litigation support, and utility rate analysis and development.  Mr. Janssen received a Bachelor of Science Degree in Mechanical Engineering with a minor in Economics from the University of Pennsylvania.

Frank Schneider is the Vice President of Environmental, Health, and Safety at Kelson Energy.  Mr. Schneider has more than 20 years of environmental experience for various industries including utility and cogeneration in the United States and internationally.   Mr.  Schneider has extensive experience in project management, strategic planning, and permitting for all phases of electric generating facilities. From 2001 to 2004, Mr. Schneider was responsible for providing TransAlta Energy, USA environmental support in development, acquisition, and asset management of TransAlta’s electric generation projects throughout the United States.  Prior to joining TransAlta in 2001, Mr. Schneider was the director for environmental affairs at Columbia Electric and successfully permitted the development and compliance of power projects that generated over 3,000 MWs.  Earlier in his career Mr. Schneider was involved in environmental consulting and was project manager for numerous environmental studies and projects for utility, cogeneration, and other industrial and municipal facilities. Mr. Schneider received a Bachelor of Science degree in Chemical Engineering from Clarkson University.

David N. Strong is a Senior Vice President of Kelson Energy and is responsible for Kelson’s corporate development and acquisition activities.  Mr. Strong has over twenty years experience in the energy industry.  Prior to joining Kelson Holdings in 2005, Mr. Strong was a principal with Freestate Management LLC.  From 2001 to 2002, Mr. Strong was a Director for Orion Power Holdings, Inc. a position he assumed when Orion purchased Columbia Electric where Mr. Strong was a Director of Project Development.  At Orion and Columbia Mr. Strong led the successful development and completion of the 500 MW natural gas fired Ceredo Electric Generating Station located in Ceredo, WV.  Previously Mr. Strong held positions with Ahlstrom Development, Pyropower Boiler Company and Babcock and Wilcox.  Mr. Strong received a Bachelor of Science Degree in Mechanical Engineering from The University of Akron and is a Registered Professional Engineer in California.

Robert L. Svendsen is a Senior Vice President of Kelson Energy.  Mr. Svendsen has over twenty years experience in the independent energy business.  Prior to joining Kelson Mr. Svendsen held senior management positions at Orion Power Holdings, Inc., Foster Wheeler Power Systems, Ahlstrom Development Corporation and Pacific Generation Services.  Mr. Svendsen has managed the construction, start-up and commissioning, and operation of four electric generating facilities ranging in size from 32 to 1,200 MWs.  Mr. Svendsen started his career with Pacific Power & Light Company where he held a variety of engineering, operations and management assignments.  Mr. Svendsen received a Bachelor of Science degree in civil engineering from Oregon State University and is a Registered Professional Engineer in Oregon.

Don Walters is the President of Kelson Canada, Inc. – a company with assets in both Canada and the US.  Mr. Walters has over 30 years of experience in the electric energy industry including operations and management, business development and engineering.  Previously he was Regional Business Executive for Calpine responsible for profit and loss for the Southeast and then Northeast Region.  Mr. Walters also served as the Vice President of Project Development at Calpine responsible for development in the eastern part of the US. Other positions included senior management roles at Constellation, Parsons and Burns and Roe. Mr. Walters has a BS in Civil and Environmental Engineering from Newark College of Engineering, MS in Structural Engineering with a minor in Theoretical and Applied Mechanics from Cornell University and a MBA from Florida Institute of Technology.  He is a registered Professional Engineer in New Jersey.

Alberto Ciganda is Vice President of Finance at Kelson Energy with responsibilities for financial analysis, valuation and structuring of acquisitions and financing.  Prior to joining Kelson Energy, Mr. Ciganda held the position of Senior Consultant of the Energy and Corporate Finance practices at Bates White LLC.  There, he performed economic analysis, market forecasting, and financial analysis for both regulated and unregulated clients in the energy industry. Previously, he held managerial positions both in the economic consulting and software industries. Mr. Ciganda obtained his Licentiate in Economics degree from the Universidad Católica del Uruguay and his Master in Business Administration from Georgetown University's McDonough School of Business.

Jason Atwood is the Director of Energy Management for Kelson Energy responsible for energy management activities for Magnolia Energy – Kelson’s combined cycle facility located in Ashland, Mississippi.  Mr. Atwood has over 19 years experience in the electrical power industry.  Prior to joining Kelson in 2007, Mr. Atwood worked for Calpine Corporation as Manager of Market Design responsible for advocating rules and structures for the wholesale markets in the eastern interconnect.  He has held various transmission planning and operations roles at Calpine, Midwest ISO, and Cinergy.  Mr. Atwood started his career as a relay technician for Cinergy in Plainfield, Indiana.  Mr. Atwood holds a Bachelor of Science Degree in Electrical Engineering Technology from Purdue University and a Master of Business Administration Degree from Indiana Wesleyan University.

David Baugh is the Director of Energy Management for Kelson Energy responsible for energy management activities for Cottonwood Energy – Kelson’s combined cycle facility located in Deweyville Texas.  Prior to joining Kelson in 2007, Mr. Baugh worked for Entergy Corporation as a Wholesale Executive responsible for negotiating long-term and limited-term power purchase agreements and resource acquisitions.  He also held various planning roles responsible for dispatch cost analysis, pricing forecasts and transmission constraint analysis.  Mr. Baugh started his career as a power plant engineer for TXU Energy in Dallas, Texas where he managed plant specific projects, major plant overhauls, Condition Based Maintenance programs and all economic justification modeling for capital and O&M projects.  Mr. Baugh holds a Bachelor of Science Degree in Mechanical Engineering from the University of Texas.

Randy Gillespie  is a Director of Kelson Energy and is responsible for commercial energy management activities for Dogwood Energy – Kelson’s combined cycle facility located in Pleasant Hill, Missouri.  He began his career as a real-time power trader with The Energy Authority in 1999.  Prior to joining Kelson in 2007, Mr. Gillespie held various positions in trading and asset optimization with Orion Power and Allegheny Energy. Mr. Gillespie holds a Bachelor of Science Degree in Marketing from Clemson University and a Master of Business Administration degree from the University of Pittsburgh.

Robert T. Glesmann is a Director of Kelson Energy.  Mr. Glesmann is focused on supporting the technical and operational aspects of the Kelson fleet, particularly plant performance.  Prior to joining Kelson, Mr. Glesmann held project management and project engineering positions with several consulting and process equipment design and supply firms, focusing on air pollution control.  Mr. Glesmann received a Bachelor of Science Degree in Chemical Engineering from Cornell University.

Chris Kelliher is a Director of Accounting at Kelson Holdings. Mr. Kelliher is responsible for the accounting and financial reporting for Kelson including the development of business processes and audit management. Prior to joining Kelson in 2008 Mr. Kelliher had significant experience working with organizations in transition, including public offerings, systems integrations and Sarbanes Oxley project management. Mr. Kelliher has a B.A. in Accounting from Franklin and Marshall College.

Sanjay Wankhade is a Director of Kelson Energy. Mr. Wankhade has over 12 years experience spread across energy management activities, project finance and acquisition of distressed debt. He joined InterGen North America in the Asset Management Group in 2001. InterGen was acquired by Kelson Energy in 2005. At InterGen, he was responsible for energy management activities for Cottonwood Energy, Redbud Energy and Magnolia Energy. Mr. Wankhade started his career in project finance with ICICI Limited, India and has also worked with Arcil, India, responsible for acquisition of distressed debt from Banks/ financial Institutions. Mr. Wankhade holds a Bachelor of Engineering Degree in Electronics from V.J.T.I, Mumbia, India and a Master of Business Administration Degree from Rice University, Houston, Texas.
